Wayne founded Chiang Law Office, P.C. in San Francisco in 2011. Before founding Chiang Law Office, P.C., Wayne worked at a few prestigious law firms in Silicon Valley, including Wilson Sonsini Goodrich & Rosati, P.C., one of the top law firms in the U.S. providing premier legal services to technology, life sciences, and other growth enterprises worldwide.
Wayne has extensive experience in practicing corporate and securities laws, with particular emphasis on venture capital financing and entrepreneurial services. Wayne represents technology and growth companies at all stages of development, through private financings, strategic transactions, public offerings, and mergers and acquisitions. He also counseled numerous public companies on SEC reporting and compliance obligations. In many deals, Wayne also represents investors in venture capital financings.
In 2014, Wayne expanded the firm’s footprint to Asia and established its first international office in Taipei, Taiwan. Wayne has represented a number of Asian startup companies seeking international venture financings, including Pinkoi Inc., EZTable Ltd., N Squared Holdings, Inc., Bounty Tavern Inc., Flyfit, Inc., MobiusBobs Inc. and Gaius Automotive Inc.
Wayne is often invited by Big 4 accounting firms and universities to teach M&A and venture capital financing. He is also mentor of many incubators and accelerators, including iCamp (Beijing) and Garage+ (Taipei).

Matthew Z. Chang
Mr. Chang's practice focuses in the areas of corporate and securities laws. He has represented emerging and established public and private companies on a variety of matters, including public and private mergers and acquisitions, private placements of equity and debt securities, registered offerings of securities and general business matters. Mr. Chang is well versed in helping Chinese companies navigate the U.S. capital market and is familiar with the Chinese business environment and regulatory landscape.
Prior to joining the Chiang Law Office, Mr. Chang worked at The Crone Law Group in San Francisco, California, Troy & Gould, P.C. in Los Angeles, California, Rutan & Tucker, LLP in Costa Mesa, California and McDermott Will & Emery in Boston, Massachusetts.
Mr. Chang was also a law clerk for the Honorable Sterling Johnson, Jr. of the U.S. District Court in the Eastern District of New York. Mr. Chang received his B.S. in biology from the University of Redlands in 1991, M.A. in energy and environmental studies from Boston University in 1993 and J.D. from Northeastern University School of Law in 1998.
Mr. Chang is fluent in Mandarin and Taiwanese and is admitted to practice law in California, Massachusetts and New York.
James has represented public and private companies, as well as individuals, in many different types of corporate transactions, including entity formations, securities offerings, mergers and acquisitions (including reverse mergers), private equity investments, SEC public company reporting, and a wide variety of business contracts. Many of these transactions had international components, with a special emphasis on clients located in China.

Jerry Chen is an affiliate counsel to Chiang Law Office, P.C. and a partner at Exponent Law. He focuses his practice on litigation and strategic IP counseling.
In over a decade of practice, Jerry has successfully litigated numerous complex intellectual property and commercial cases in federal courts and the U.S. International Trade Commission. He has represented leading foreign and domestic companies in disputes involving a range of technologies, including: semiconductor fabrication, semiconductor packaging, computer hardware, software, e-commerce, memory, IC design, LCD, and LED fabrication. As a seasoned litigator, Jerry has extensive experience in directing case strategy, developing claims and defenses, executing discovery, oral argument, and trial. Jerry was previously a partner at the litigation boutique Freitas Tseng & Kaufman LLP. Before that, he was a patent litigator at Orrick, Herrington & Sutcliffe and Wilson Sonsini Goodrich & Rosati.
Jerry also has an active IP counseling practice where he advises companies of all sizes on how to protect and enhance their IP assets. In addition, Jerry also provides strategic counseling on technology transfers, patent licenses, asset purchase agreements, risk assessments, and IP valuations. Jerry was previously Senior Counsel with United Microelectronics Corporation, where he developed strategies for patent management, licensing, and US litigation.
Jerry is fluent in Mandarin Chinese and often teaches patent litigation and trial skills as a guest lecturer for Soochow Law School (Taiwan).

James Hou had practiced law in a renowned IP law firm and an international law firm in Taiwan for many years. Since 2006, James had worked for several public-listed companies including Sunplus Technology Group, Entertainment Machine Operator Group and VIA Technologies Inc. as legal counsel. James accumulated solid and valuable hands-on experience concerning local litigation and global transaction through his past working experience.
--James has three master degrees: LLM from National Taiwan University, MBA from National Chengchi University and LLM from University of Pennsylvania; currently he is a PHD candidate in Peking University (China). The diversified education backgrounds make James become a trained legal expert on the laws of Taiwan, China and USA. In addition, James is also licensed to practice law in Taipei and the State of New York, USA, and he is a licensed patent attorney in Taiwan.
